COMPANY SECRETARY (REF: HRM04)
FIVE YEAR FIXED TERM POSITION
SALARY PACKAGE: R1 175 545.75 PA (TOTAL COST TO COMPANY)

As Company Secretary the employee provides professional company secretarial services as envisaged in the Companies Act and its regulations, Code of Good Corporate Governance in South Africa, 2016 (King IV) and other corporate governance instruments and guidelines. Principally the Employee shall: advise the Board of Directors; and the Directors, collectively and individually, of their legal rights and obligations in relation to any number of matters as it finds application in law.
 
Prepare, collate and distribute Board and Committee Charters and work plans and/or programmes, meeting agendas, resolutions and meeting documentation and take minutes of meetings designated from time to time (meetings may been that of the Board, Board Committees and /or meetings of the executive and management of the company. Effectively coordinate and attend designated meetings (including the Annual General meeting of the company) assist in the travel and accommodation arrangements of Board and/or committee members, processing of allowed expense claims of the members of Board or committees.
 

Maintain the company’s statutory registers including minute books, company registers, register of disclosures and conflicts and other statutory files including the completion filing and/or submission of the company’s forms , statutory returns and documents required by the Companies Act to the Companies and Intellectual Property Commission and other regulators. Participate in preparing or in part prepare reports to Board, Board committees and any other forum of the company in relation to any subject matter required of the Secretariat from time to time. Be instrumental in the preparation and distribution of the Company’s Annual Report, specifically in relation to matters of Corporate Governance, integrated reporting and legal matters. Ensure that Board , policy , relevant decisions and other communications by the Board (regulatory or otherwise) are channelled to the appropriate members of staff and/or other stakeholders; further to convey the Board’s instruction and requests to the relevant manager of the company. Responsible for ensuring integration of all shareholder requirements from Board and act as liaison between the Board and Shareholder on all matters as defined in the SDA and Shareholder Compact.

QUALIFICATIONS & EXPERIENCE
LLB plus 3 years’ of post — articles experience either in practice or within a corporate entity; or CCSA Qualification with 7 years’ experience in a company secretarial role.

TECHNICAL REQUIREMENTS
Knowledge of the Companies Act,
Good knowledge and understanding of relevant policy and applicable legislation
Good knowledge and understanding of institutional governance systems and performance management

ADDED ADVANTAGE REQUIREMENTS
Membership of the loD
Knowledge and understanding of Public or local government sector regulatory framework
Minimum MFMA Competency for senior managers in local government
